Welcome to Grabbit. These Terms & Conditions ("Terms") govern your access to and use of the Grabbit website, mobile applications, and related services (collectively, the "Platform"), operated by Lexy Web Designs PTY Ltd ("Grabbit," "we," "us," or "our"), a company operating in Ghana.

By creating an account, placing an order, registering as a vendor, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Overview of Services

Grabbit is a multi-vendor online marketplace that connects customers with independent restaurants, grocery stores, pharmacies, and other vendors ("Vendors") for the ordering and delivery of food, groceries, and other goods within our service areas in Ghana. Grabbit also connects customers with independent delivery personnel ("Deliverymen" or "Riders") who fulfill delivery of orders placed through the Platform.

Grabbit acts solely as a technology platform facilitating transactions between Customers, Vendors, and Deliverymen. Grabbit does not itself prepare, manufacture, sell, or deliver any goods, except where explicitly stated.

2. Eligibility

To use the Platform, you must:

  • Be at least 18 years of age, or the age of legal majority in your jurisdiction;
  • Have the legal capacity to enter into a binding contract;
  • Provide accurate, current, and complete information during registration; and
  • Comply with all applicable laws of Ghana while using the Platform.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. Grabbit reserves the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Orders and Payments

4.1. Order Placement. When you place an order through the Platform, you are making an offer to purchase goods from the relevant Vendor. The Vendor's acceptance of your order (indicated by order confirmation) forms a contract of sale directly between you and the Vendor.

4.2. Pricing. Prices displayed on the Platform are set by individual Vendors and may vary from prices charged at the Vendor's physical location. Grabbit reserves the right to charge delivery fees, service fees, and applicable taxes, which will be disclosed prior to checkout.

4.3. Payment Methods. Grabbit accepts payments via the methods made available on the Platform at checkout, which may include mobile money, card payments, and cash on delivery, where applicable. You agree to pay all charges incurred under your account.

4.4. Order Accuracy. While we strive to ensure Vendor menus and product listings are accurate, Grabbit does not guarantee the accuracy of prices, descriptions, images, or availability of items listed by Vendors.

5. Delivery

5.1. Delivery times displayed on the Platform are estimates only and are not guaranteed. Delays may occur due to weather, traffic, high order volumes, Vendor preparation time, or other circumstances beyond our control.

5.2. You are responsible for providing an accurate delivery address and for being reasonably available to receive your order. Grabbit and its Deliverymen are not liable for failed deliveries resulting from incorrect address information or your unavailability.

5.3. Risk of loss and title for items purchased pass to you upon delivery to the address provided.

6. Vendor Responsibilities

Vendors listed on the Platform are independent third parties responsible for the preparation, quality, safety, and legality of the goods they list and sell. Grabbit does not inspect, endorse, or guarantee the quality, safety, or legality of any goods offered by Vendors, except where Grabbit expressly states otherwise.

Vendors are solely responsible for compliance with all applicable food safety, health, licensing, and consumer protection laws in Ghana.

7. Deliveryman Relationship

Deliverymen registered on the Platform operate as independent contractors and are not employees or agents of Grabbit. Grabbit is not responsible for the acts or omissions of Deliverymen, except as required by applicable law.

8. Cancellations and Refunds

Cancellation and refund requests are governed by our separate [Refund Policy] and [Cancellation Policy], which form part of these Terms by reference.

9. User Conduct

You agree not to:

  • Use the Platform for any unlawful purpose;
  • Provide false, misleading, or fraudulent information;
  • Interfere with or disrupt the security or functioning of the Platform;
  • Harass, abuse, or harm Vendors, Deliverymen, or other users;
  • Attempt to gain unauthorized access to any part of the Platform or its systems; or
  • Use automated means (bots, scrapers) to access or interact with the Platform without our written consent.

Violation of this section may result in suspension or termination of your account, in addition to any other remedies available to Grabbit under law.

10. Intellectual Property

All content on the Platform, including but not limited to the Grabbit name, logo, design, graphics, and software, is the property of Grabbit or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from this content without our prior written consent.

11. Limitation of Liability

To the fullest extent permitted by law, Grabbit shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, including but not limited to loss of profits, data, or goodwill, even if advised of the possibility of such damages.

Grabbit's total aggregate liability arising out of or relating to these Terms or your use of the Platform shall not exceed the amount you paid to Grabbit for the specific order giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Grabbit, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your breach of these Terms or your misuse of the Platform.

13. Modifications to the Platform and Terms

Grabbit reserves the right to modify, suspend, or discontinue the Platform, in whole or in part, at any time without notice. We may also revise these Terms from time to time. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana.
